Seller Agreement

This agreement applies to all approved sellers on AgriMarket. By submitting a seller application and being approved, you agree to these terms.

1. Seller Status

Seller status is granted at the sole discretion of AgriMarket following successful completion of the verification process. Seller status may be suspended or revoked for breach of this agreement, fraudulent activity, or failure to maintain verification standards.

2. Listing Obligations

Sellers must: (a) provide accurate, complete and up-to-date product listings including correct prices, availability, condition and specifications; (b) update listings promptly when products are sold out or unavailable; (c) include accurate photos of the actual products or animals being sold; (d) not list products they do not own or have authority to sell; (e) comply with all applicable Nigerian agricultural, food safety and consumer protection laws.

3. Order Fulfilment

Upon receiving an order: (a) respond to the buyer within 24 hours to confirm availability and price; (b) fulfil confirmed orders within the agreed timeframe; (c) notify the buyer immediately if you are unable to fulfil an order; (d) provide accurate delivery timelines and tracking updates; (e) ensure goods match the listing description at the time of handover.

4. Commission & Fees

The Platform charges a commission on sales completed through AgriMarket. Commission rates are set by AgriMarket’s current published commercial rules and vary by product category and order type — the rates applying to your account are shown in your Seller workspace under Subscription. Where AgriMarket processes the payment for an order, commission is deducted from the payout amount, and the rate applying to an order is fixed at the point of checkout, so later changes never alter an order already placed. Where a buyer pays you directly, AgriMarket does not process that payment and does not currently deduct any commission from it. Rates may be revised with 30 days’ written notice. Listing products is free.

5. Payouts

Payouts apply to orders paid through AgriMarket. For those orders, payout becomes eligible for settlement after the required delivery and receipt confirmation, and remains subject to dispute checks and administrative approval before disbursement. Payouts are made to your registered bank account within 1–3 business days of approval, are held during active disputes, and the Platform reserves the right to withhold them pending investigation of fraud or policy violations. Where a buyer pays you directly — by cash on pickup, by transfer to your own account, or on terms you agree with them — AgriMarket never receives that money, so there is no payout for it to make and none of the above applies.

6. Pricing

Sellers set their own prices. Prices must be in Nigerian Naira (₦). Sellers must not engage in price manipulation, artificial inflation or deceptive pricing. Delivery fees must be disclosed to buyers before payment is requested.

7. Live Animals

Sellers listing live animals must: (a) ensure animals are healthy and fit for sale at the time of listing; (b) provide accurate breed, weight, age and sex information; (c) comply with all Nigerian livestock regulations and movement permits; (d) be present or have a representative present at the time of collection; (e) not sell animals that are diseased, injured or misrepresented.

8. Prohibited Conduct

Sellers must not: (a) list prohibited products; (b) conduct transactions outside the Platform to avoid commission (order-steering); (c) provide false or misleading information in listings or communications; (d) engage in price-fixing with other sellers; (e) solicit buyers to leave the Platform; (f) create multiple accounts to circumvent restrictions.

9. Reviews & Ratings

Buyers may leave reviews on completed orders. Sellers may respond to reviews. Sellers must not offer incentives for positive reviews, threaten buyers for negative reviews, or attempt to manipulate the review system. Fake reviews are grounds for immediate account suspension.

10. Disputes & Refunds

Sellers must cooperate with the Platform's dispute resolution process. This includes providing evidence, responding to enquiries within 48 hours and accepting the Platform's mediated resolution. Sellers are responsible for refunds where goods are materially misrepresented or not delivered.

11. Taxes

Sellers are responsible for all applicable Nigerian taxes on their sales, including VAT and income tax. The Platform does not collect or remit taxes on behalf of sellers. Sellers should consult a tax professional regarding their obligations.

12. Termination

Either party may terminate this agreement with 14 days' written notice. The Platform may terminate immediately for serious breaches including fraud, misrepresentation or repeated policy violations. Upon termination, outstanding payouts for completed orders will be processed subject to any holds.
